NPA’s Draft Constitution to be considered

The Northbridge Progress Association have drafted a new Constitution (Rules of Association) which we will be seeking the endorsement of, by our members, at our 7 June 2017 meeting.

The new draft constitution has come about by changes to laws made by the NSW Department of Fair Trading, which came into force on 1 September 2016, and which included amendments made to the Associations Incorporation Act 2009 (the Act) and a new Regulation.

From 1 September 2016 there are three new matters that every constitution must address:

  • the maximum number of consecutive terms of office of any office-bearers on the committee;
  • ballots can be postal or electronic (the electronic voting method is new);
  • the winding-up of the association.

In order to address this issue, part of our General Meeting will be classified as a Special General Meeting, as outlined under our current Constitution. It is our intention to propose as a Special Resolution that the current rules of the association be:

  • rescinded; and
  • replaced by a new constitution of association, which would comply with the requirements of the Associations Incorporation Act 2009.

We, therefore, ask all members of the Association to review the DRAFT constitution and to then attend the Meeting on 7 June 2017 at the Northbridge Golf Club, Sailors Bay Road, Northbridge in order that a Motion may be declared and a vote, be recorded.
